Global Ambassador Agreement - Terms & Conditions
1. Agreement Overview This agreement is between LATC – Antidote, LLC ("Antidote") and the Global Ambassador ("AGA"). AGA will introduce new clients to Antidote and earn commissions based on full-price sales.
2. Independent Contractor Status AGA is an independent contractor, not an employee, and cannot represent Antidote as an agent.
3. Term & Termination The agreement starts on the effective date and continues until terminated by either party. Antidote may terminate the agreement at any time with 10 days’ notice or immediately for contract violations.
4. Services & Responsibilities
· AGA earns a commission on full-price sales from new clients introduced to Antidote.
· AGA must act in good faith and provide accurate client information.
· AGA cannot sell Antidote products online or accept client payments.
· AGA must inform clients about Antidote’s return policy.
· AGA is responsible for any damage or losses caused by misinformation or negligence.
5. Commission & Payments
· AGA earns a 10% commission on full-price sales once a minimum of $10,000 in sales is reached.
· Payments are made monthly, based on sales reports.
· Fees are not paid on returned products or discounted purchases.
6. Confidentiality & Intellectual Property
· AGA must keep all business and client information confidential.
· Antidote owns all branding and trademarks; AGA cannot use them without permission.
7. Restrictions
· AGA cannot promote their relationship with Antidote without written approval.
8. Liability & Indemnification AGA agrees to indemnify Antidote against damages, losses, or legal claims resulting from AGA’s actions or breaches of this agreement.
9. Governing Law This agreement is governed by the laws of the State of Georgia, with disputes handled in Georgia state courts.
10. Amendments & Waivers Changes must be in writing and signed by both parties. Failure to enforce any term does not waive future enforcement.
11. Execution
This Agreement may be executed by PDF or email signature by either party hereto, in one or more counterpart, and such signature shall be deemed binding for the purposes hereof, without delivery of an original signature being thereafter required. This Agreement shall become binding when any one or more counterparts hereof, individually or taken together, bears the signature of each of the Parties hereto.
